Callaghans advise on share sale of traffic surveillance company

The Corporate Group at Callaghans has recently acted for a shareholder on the share sale of an international company specialising in traffic surveillance systems for an undisclosed sum.  The target company’s head office is based in the UK and the company has business interests in the US, Asia Pacific and Europe.  The team was headed by Corporate Partner Murray Wells.  The purchaser was advised by Shoosmiths.

The managing director and shareholder of the target company comments about the transaction and Callaghans’ involvement “Callaghans provided a fantastic level of service throughout what turned out to be a very protracted process.  I was very comfortable that my interests were being protected at all times and the level of effort put in by Murray and Rebecca, to ensure my deadline was met, was truly awesome.  It was a true pleasure to work with them and I recommend them unreservedly”.

Callaghans were personally recommended to the seller by Square Route Solutions Ltd, who have worked with the corporate team on a number of previous transactions and have always been pleased with the way Callaghans work to provide an excellent quality service for their clients, their commercial and pragmatic approach and ability to maintain a positive relationship with the lawyers on the other side of the deal.

The corporate team are always willing to accommodate their clients’ requirements.  The completion timetable in this transaction was particularly tight in order that matters could be completed before the emergency budget on the 22nd June 2010.  The team pulled out all the stops literally working around the clock to ensure the deadline was met, without compromising the need to achieve the best terms and maximum protection for the client.
